EDXSTORE LLC ("Company," "we," "our," or "us") provides information technology consulting, software development, cybersecurity, and government contracting services. These Terms of Service ("Terms") govern your access to and use of our services, website, and any related applications or platforms.

Our services include but are not limited to:

• Custom software development and application modernization
• Cloud infrastructure design and implementation
• Cybersecurity assessments and compliance consulting
• Government contracting and proposal development
• IT staffing and professional services
• Technology consulting and strategic planning

By using our services, you represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into these Terms
• You are authorized to act on behalf of your organization (if applicable)
• All information you provide is accurate, current, and complete
• You will comply with all applicable laws and regulations
• You have the necessary security clearances for government contracting work (if applicable)

You agree to use our services only for lawful purposes and in accordance with these Terms. You may not:

• Use our services for any illegal or unauthorized purpose
• Violate any applicable laws, regulations, or third-party rights
• Interfere with or disrupt our services or servers
• Attempt to gain unauthorized access to our systems or data
• Transmit viruses, malware, or other harmful code
• Reverse engineer, decompile, or disassemble our software
• Use our services to compete with us or develop competing products

If you submit information for partnership opportunities or staffing positions:

• All submitted information must be accurate and truthful
• You grant us permission to verify your credentials and background
• We may share your information with clients for relevant opportunities
• You understand that submission does not guarantee placement or partnership
• You agree to maintain confidentiality regarding client information
• You will comply with all security and clearance requirements

We reserve the right to reject any submission that does not meet our standards or requirements.

For specific projects and services, separate contracts or statements of work may be required. These Terms serve as the general framework, while project-specific agreements will govern:

• Detailed scope of work and deliverables
• Project timelines and milestones
• Payment terms and pricing
• Specific confidentiality and security requirements
• Intellectual property ownership and licensing
• Performance standards and acceptance criteria

In case of conflict between these Terms and a specific contract, the specific contract will prevail for that particular engagement.

Intellectual property rights are handled as follows:

Our Intellectual Property

• We retain ownership of our pre-existing intellectual property
• Our methodologies, frameworks, and proprietary tools remain our property
• You receive a limited license to use deliverables for your intended business purposes

Client Intellectual Property

• You retain ownership of your pre-existing intellectual property
• Custom developments may be owned by you as specified in project contracts
• You grant us necessary licenses to perform our services

Joint Developments

• Jointly developed intellectual property will be addressed in specific agreements
• Government work may have specific intellectual property requirements
• Open source components remain subject to their respective licenses

We understand the sensitive nature of the information we handle and are committed to maintaining strict confidentiality:

• All client information is treated as confidential and proprietary
• We implement appropriate security measures to protect sensitive data
• Our team members sign confidentiality agreements
• We comply with government security requirements and clearance protocols
• Information is only shared on a need-to-know basis within our organization
• We maintain confidentiality even after project completion

For government contracts, additional security protocols and clearance requirements may apply as specified in individual agreements.

To the maximum extent permitted by law:

• Our total liability for any claim shall not exceed the amount paid for the specific service
• We are not liable for indirect, incidental, special, or consequential damages
• We are not responsible for damages caused by third-party services or integrations
• Force majeure events (natural disasters, government actions, etc.) excuse performance delays
• You agree to indemnify us against claims arising from your use of our services

Important: Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you. Government contracts may have specific liability provisions that supersede these terms.

These Terms and any disputes arising from them shall be governed by:

• The laws of the State of Texas, without regard to conflict of law principles
• Federal laws of the United States where applicable
• Specific government contracting regulations for federal projects

Any legal disputes will be resolved in the state or federal courts located in Dallas County, Texas, unless otherwise specified in a project-specific agreement.

Dispute Resolution

We encourage resolving disputes through direct communication. If formal resolution is needed, we prefer mediation or arbitration before litigation, except where government contracting regulations require specific dispute resolution procedures.
